The Buyer is solely responsible for determining whether a claimed exemption applies. Irontrax shall not be responsible for a taxing authority’s rejection of an exemption or for differences in tax requirements among jurisdictions. If an exemption is later disallowed, the Buyer shall be responsible for all resulting taxes, interest, penalties, and costs.
Terms and Conditions
Buyer Contact. The successful Buyer must contact Irontrax within 24 hours after the auction closes and provide all requested billing, payment, tax, title, and removal information.
Payment Deadline. Full payment must be received by Irontrax or the Seller within five business days after the auction closes. Acceptable payment methods are wire transfer, certified funds, company check approved by Irontrax, or another method expressly authorized by Irontrax. No asset, title, or transfer document will be released until all funds have cleared.
Late Payment. Irontrax reserves the right to assess a late charge equal to 3.75% of the outstanding balance beginning on the sixth business day after the auction closes, together with any storage, collection, legal, administrative, or other costs incurred as a result of the late payment, to the extent permitted by applicable law. All amounts must be paid in full before any asset or title documentation will be released.
Buyer’s Costs. The Buyer is responsible for all applicable sales and use taxes, Buyer’s premiums, title and registration fees, documentary fees, permits, inspections, insurance, loading, rigging, towing, transportation, shipping, storage, repairs, and any other charges associated with the purchase, transfer, removal, or use of the asset.
Permits and Removal Requirements. The Buyer is solely responsible for obtaining all permits, licenses, escorts, insurance, equipment, labor, and services required to remove and transport the purchased assets. The Buyer and its contractors must comply with all site rules, safety requirements, and applicable laws.
Final Sale; As Is, Where Is. ALL SALES ARE FINAL. ALL ASSETS ARE OFFERED AND SOLD “AS IS,” “WHERE IS,” “WITH ALL FAULTS,” AND WITHOUT RECOURSE.
To the fullest extent permitted by law, Irontrax and the Seller make no representations or warranties, express or implied, written or oral, including any warranty of merchantability, fitness for a particular purpose, condition, quality, design, capacity, performance, safety, roadworthiness, emissions compliance, registrability, title status, or conformity with any description, photograph, specification, mileage, hour reading, or other information.
The Buyer acknowledges that it has had an opportunity to inspect the assets and is purchasing them based solely on its own inspection, investigation, knowledge, and judgment. The Buyer’s failure or decision not to inspect an asset shall not create any right to cancel the sale, reject the asset, receive a refund, or obtain a price adjustment.
Descriptions and Photographs. Asset descriptions, photographs, videos, maintenance records, specifications, VINs, serial numbers, model years, mileage, hours, and condition information are provided solely as a convenience. Irontrax does not guarantee that such information is complete or error-free. The Buyer is responsible for independently verifying all information material to its purchase.
Removal Deadline. All purchased assets must be removed within 10 business days after the auction closes unless Irontrax provides different written instructions. Pickup and load-out are by appointment only and must occur during the dates and times designated by Irontrax or the asset location.
Payment Clearance. ACH, e-check, company check, and similar payments may require five to 10 business days or longer to clear. No asset, title, bill of sale, or other ownership document will be released until Irontrax confirms that all funds have irrevocably cleared. A payment that is returned, reversed, recalled, dishonored, or otherwise not collected will constitute a Buyer default.
Storage and Abandoned Assets. Any asset remaining onsite after the removal deadline may be assessed a storage charge of $100 per day, per lot, together with any towing, relocation, handling, security, insurance, or other related costs.
If an asset is not removed within the required period, Irontrax may, after providing any notice required by law, relocate, store, resell, or otherwise dispose of the asset. The Buyer shall remain responsible for all resulting costs and any deficiency between the original purchase price and the net resale proceeds. Payment of storage charges does not extend the removal deadline or create a right to leave an asset onsite.
Shipping and Transportation. Irontrax does not provide shipping unless expressly stated in writing for a particular lot. Shipping, towing, loading, and transportation are the sole responsibility of the Buyer.
A Buyer who fails to comply with the payment, scheduling, documentation, or removal requirements may be assessed an administrative default fee of $500 to $1,000 per lot, in Irontrax’s reasonable discretion and to the extent permitted by law, in addition to storage charges, actual damages, collection costs, and other available remedies.
Buyer’s Premium. The applicable Buyer’s premium may vary by asset or auction and will be stated in the applicable listing, bidding platform, auction announcement, or invoice. The Buyer’s premium is earned at the time of sale and is nonrefundable.
Mileage and Hour Meters. Irontrax does not independently verify the accuracy or authenticity of mileage or hour readings or the operating condition of any odometer, hour meter, electronic control module, telematics system, or other recording device.
Any mileage or hours shown in a listing are reported only as displayed or otherwise provided to Irontrax at the time of listing and are not guaranteed to be actual. Any odometer disclosure required by federal or state law will be provided separately through the applicable title or transfer documentation, and that legally required disclosure will control.
Titles, Registration, and Emissions Compliance. Unless expressly stated otherwise in writing, Irontrax does not warrant that an asset can be titled, registered, licensed, exported, operated on public roads, or brought into compliance with federal, California, or other state emissions and safety requirements.
The Buyer is solely responsible for confirming title status, registration eligibility, emissions compliance, roadworthiness, weight restrictions, permitting requirements, and lawful operation in every applicable jurisdiction. The Buyer shall not drive a purchased vehicle from the sale site unless it is properly titled or permitted, insured, legally compliant, and safe to operate.
Risk of Loss. Risk of loss, theft, damage, or destruction passes to the Buyer when the auctioneer declares the asset sold or otherwise accepts the Buyer’s bid, subject to applicable law. Irontrax and the Seller are not responsible for loss or damage occurring after the sale. Ownership documents and physical possession may nevertheless be withheld until payment has cleared.
Removal Damage and Indemnification. The Buyer is responsible for any injury, death, property damage, environmental condition, spill, citation, fine, or other loss caused by the Buyer or its employees, agents, carriers, riggers, or contractors during inspection, loading, removal, transportation, or use of the asset.
The Buyer agrees to defend, indemnify, and hold harmless Irontrax, the Seller, the property owner, and their respective officers, employees, agents, and representatives from claims, liabilities, damages, penalties, and expenses arising from the Buyer’s activities or purchase, possession, removal, transportation, or use of an asset, except to the extent such indemnification is prohibited by law.
Buyer Default. If the Buyer fails to make payment, provide required documentation, or remove an asset on time, Irontrax may cancel the sale, retain any deposit to the extent permitted by law, resell the asset, bar the Buyer from future sales, recover any resale deficiency, and collect storage charges, administrative fees, legal fees, collection expenses, and other damages or remedies available under applicable law.
Auction Administration. Irontrax reserves the right to withdraw any lot before the completion of the sale, reject or cancel bids, establish or modify bidding increments, extend the auction, reopen bidding, correct errors, and resolve bidding or sale disputes. Irontrax’s determination regarding auction administration shall be final to the extent permitted by law.
Acceptance of Terms. By registering for the auction, placing a bid, submitting an offer, or purchasing an asset, the Buyer acknowledges that it has read, understood, and agreed to these Terms and Conditions.
